MHA corporate finance provides financial and tax due diligence services and acts as reporting accountant for Marwyn Acquisition Company II Limited’s (“MAC2”) proposed acquisition of InvestAcc Group Limited (“InvestAcc). MAC2’s sponsor, Marwyn, has a long track record of building UK public companies. MAC2’s subsidiary, MAC II UK Limited (“Bidco”) has entered into binding agreements to acquire 100 per cent of the issued share capital of InvestAcc.
The proposed acquisition of InvestAcc is the first and key step in MAC2’s strategy to build the UK’s leading specialist pensions administration business in the public markets with an initial focus on the SIPP (self invested personal pensions) segment. MAC2 believes InvestAcc, an award-winning provider of self-invested personal pension (SIPP) and small self-administered scheme (SSAS) services in the UK, provides the optimal strategic platform to create value through a SIPP buy and build strategy.
Acquiring InvestAcc allows MAC2 to benefit from a leading UK personal pension provider which has a track record of delivering excellent customer service, scalable operations and infrastructure and a sustainable growth trajectory. The management team and founder of InvestAcc are all expected to stay with the business post completion.
MAC2 Chair Mark Hodges commented:
"We have long admired InvestAcc Group, a leading UK personal pension administrator with a loyal and growing customer base. With a greater focus on savings, changing demographics and a growing reliance on the family, the pensions administration industry plays an important role in securing financial independence and security for customers over the long-term. We look forward to investing further in InvestAcc's proposition and unlocking an ambitious M&A agenda to build the UK's leading specialist pensions administrator".
The MHA Corporate Finance team led by Corporate Finance Partner and Head of Transaction Services, Rob Dando, delivered specialist financial and tax due diligence and reporting accountant services to facilitate the proposed acquisition.
Rob commented:
“It has been a pleasure to work on this transaction leading our capital markets and financial and tax due diligence team. We look forward to assisting MAC and InvestAcc on their growth strategy over the near and long term.”
